Terms of Service

Article 1 (Purpose)
These terms govern the rights, obligations, and responsibilities between Sapienta ("Company") and users regarding the use of the Sapienta overseas VA (Virtual Assistant) hiring and operations service ("Service").
Article 2 (Definitions)
1. "Service" refers to all services provided by the Company, including overseas VA matching, contracting, monthly payroll remittance, and operations management tools.
2. "User" refers to any individual or company that agrees to these terms and uses the Service.
3. "VA" refers to overseas personnel verified and matched by the Company to perform tasks remotely for the User.
Article 3 (Effect and Amendment)
1. These terms take effect when posted on the Service or otherwise communicated to users.
2. The Company may amend these terms within the scope permitted by applicable laws, with at least 7 days' notice prior to the effective date.
Article 4 (Services Provided)
The Company provides the following services:
- Overseas VA recruitment matching, including multi-stage screening such as resume review and skill tests
- VA contracting and monthly payroll remittance on behalf of the User
- Operations management tools for attendance, daily reports, payroll, and performance reviews
- Post-placement monitoring and replacement support
Article 5 (Service Agreement and Fees)
1. The service agreement is governed by a separate service contract between the User and the Company.
2. Fees, payment terms, and refund policies are as specified in the individual contract.
Article 6 (User Obligations)
1. Users must not provide false information when using the Service.
2. Users must not direct VAs to perform unlawful tasks or engage in conduct that infringes upon their dignity.
3. Users must not disclose to third parties any trade secrets or personal information obtained through VAs.
Article 7 (Company Obligations)
1. The Company will use its best efforts to provide a stable service.
2. The Company will establish security systems to protect user personal information and comply with its Privacy Policy.
Article 8 (Disclaimer)
1. The Company does not warrant the accuracy, completeness, or timeliness of individual work output by VAs, and shall not be directly liable for any resulting damages, except in cases of intentional misconduct or gross negligence by the Company.
2. The Company is not liable for service interruptions caused by force majeure, network failures, or overseas local circumstances beyond its control.
Article 9 (Dispute Resolution)
Any dispute arising from these terms shall be governed by the laws of the Republic of Korea, and the court with jurisdiction over the Company's principal place of business shall serve as the court of agreed jurisdiction.
